The racist acquitted 14 years ago in a sniper attack on Vernon E. Jordan Jr. has detailed for the first time how he indeed ambushed the civil rights leader, two newspapers reported. The assailant, Joseph Paul Franklin, 45, is serving six life sentences plus 31 years for murder. He is in jail in St. Louis, awaiting trial in yet another killing.

W. R. Grace & Company said yesterday that it had agreed to sell a unit of its Agracetus subsidiary that develops genetically altered products for the agricultural and pharmaceutical industries. The unit, which is based in Middleton, Wis., is to be sold to the Monsanto Company for $150 million in cash. Agracetus's human gene therapy business will remain with W. R. Grace, doing business as Auragen Pharmaceuticals Inc. Monsanto, which is based in St. Louis, makes agricultural and chemical products.

Premier Medical Services Inc., a provider of home nursing services, said yesterday that it had been acquired by Pediatric Services of America Inc. for about $21 million. Pediatric Services, a provider of home health care for children that is based in Norcross, Ga., said the combined companies would have 95 locations in 26 cities. Premier said it expected annual revenue of the combined company to total about $150 million this year. Premier said it alone had annual revenue of about $40 million. Premier, which is based in Walnut Creek, Calif., also has offices in Maryland, Oregon, Pennsylvania, Virginia and Washington, D.C.

Fleet Bank of New York will not face a Labor Department investigation into charges that it discriminated against seven black employees in its Buffalo office, the department said yesterday. The employees, who filed a $1.8 billion lawsuit in December, accused Fleet of denying them promotions and of discriminating against them. But because they filed a private lawsuit, not a complaint with the Labor Department, the department is not required to investigate, a representative of the department said. James Mahoney, a spokesman for Fleet, said the company was reviewing the charges, though he added, "We would strenuously deny that there's any pattern of discrimination in the company." Fleet Bank of New York is a unit of Fleet Financial Group Inc., which is based in Boston.

The RJR Nabisco Holdings Corporation's board has won backing from Institutional Shareholder Services, an influential adviser to large stockholders, in RJR's fight against a slate of nominees to RJR's board that has been proposed by the financiers Bennett S. LeBow and Carl C. Icahn. The advisory firm, based in Washington, has recommended that RJR shareholders re-elect the current directors at the company's annual meeting on April 17. Institutional Shareholders had previously supported Mr. LeBow, the majority owner of Brooke Group Ltd., in the battle to force RJR to spin off its food unit, the Nabisco Holdings Corporation, immediately. RJR has said it does not want to spin off the unit before 1997.

Vallicorp Holdings Inc., a banking company based in Fresno, Calif., said yesterday that it had agreed to acquire Sunrise Bancorp of Roseville, Calif., for cash and stock worth $20.6 million. Sunrise has assets of about $120 million and two branches. Vallicorp has 54 branches and $1.3 billion in assets. The transaction is expected to be completed by the end of the year. Sunrise Bancorp stock rose 75 cents yesterday, to $3.75 a share, in Nasdaq trading. Vallicorp stock fell 12.5 cents, to $15.875.

Russian and rebel forces battled again today over villages in the mutinous republic of Chechnya, despite an announcement by President Boris N. Yeltsin that his troops had halted attacks, the Interfax news agency said. Mr. Yeltsin said on Saturday that he had sent a telegram to the Chechen rebel leader, Dzhokhar M. Dudayev, declaring a unilateral cease-fire. It was the first direct approach by Mr. Yeltsin to the rebel leader, whom the Kremlin has vilified as a criminal.
